The Dons boss was sent to the stands by referee Bobby Madden during the first-half of Aberdeen's 1-0 win at Dundee United on March 2.
He was subsequently offered a fixed, one-match touchline ban for misconduct.
The appeal was heard in front of an independent panel at Hampden Park on Thursday, where the SFA reduced the punishment to a one-match suspended ban until the end of the season.
It means McInnes will be available to take his place in the dugout of Aberdeen's next match against Hamilton in April 3.
